By signing up you agree to be bound by these Terms of Service (the “Terms“, or the “Agreement“) which will govern your use of the Services (as defined herein). 

1. Evaluation Period

Deci offers you a limited access to the Services for evaluation purposes only, and not for any commercial use (the “Evaluation Period“). To the extent permitted by law, (i) Deci may discontinue the Evaluation Period or your ability to use the Services at any time, with or without notice and without any further obligations to you; (ii) Deci’s limitation of liability during the Evaluation Period is limited zero US dollars ($0). This Agreement and any license granted hereunder shall expire at the end of the Evaluation Period (“Evaluation End”).

2. Services; License

2.1. Deci shall provide you with access to its Deci Platform, including Deci Models and inference service through API and endpoints (the “Models” or the “Services”).

2.2. Subject to the terms and conditions of the Agreement, you may use the Models to produce generated text.

2.3. You may provide input to the Models (“Input”), and receive output from the Models (“Output”), (together “Content”). You are responsible for the Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to the Models. Due to the nature of the Models Output may not be unique and may be identical to the Output of other users,

2.4. By utilizing our Models, you acknowledge and agree to the following terms:

2.4.1. You are allowed to use the Models and Output for evaluation purposes only. The use of any Output not for evaluation purposes is strictly prohibited.

2.4.2. The accuracy of the Output generated by our Models is not guaranteed. You can not rely on this Output.

2.4.3. You are responsible for assessing the Output’s accuracy and suitability for your specific needs, which may include the incorporation of a human review process, prior to its application or dissemination.

2.4.4. Output from Models may sometimes be incomplete, inaccurate, or offensive, and should not be considered reflective of Deci’s opinions. Moreover, the mention of any third-party products or services within the Output does not imply endorsement or association with Deci by such third parties.

3. Your Obligations. You hereby undertakes to:

3.1 Use the Services and all related software in compliance with all applicable laws and regulations, including but not limited to applicable data security and privacy laws, or any other harmful, or abusive activity;

3.2 Manage and secure all login credentials in connection with the use of the Services, and protect the same against unauthorized use or disclosure.

4. Intellectual Property Rights; Confidentiality 

4.1. All intellectual property rights in the Services and any part thereof, including any and all derivatives, changes and improvements thereof lie exclusively with Deci. You shall (i) not attempt to infiltrate, hack, reverse engineer, decompile, or disassemble the Services, or any part thereof for any purpose; (ii) not represent that it possesses any proprietary interest in the Services, or any part or derivative thereof; (iii) not directly or indirectly, take any action to contest Deci’s intellectual property rights or infringe them in any way; (iv) except as specifically permitted in writing by Deci, not use the name, trademarks, trade-names, and logos of Deci; (v) except as specifically permitted herein, not copy any part or content of the Services other than for evaluation purposes; (vi) not copy any features, functions or graphics of the Services, or create derivative works thereof, or use it to build a competitive product or service; and (vii) not remove the copyright, trademark and other proprietary notices contained in the Services. You shall take no action, directly or indirectly, to register Deci trademarks (or their variation), domain names, or copyrights in its own name and shall provide commercially reasonable assistance to Deci to prevent the occurrence of such activity by any third parties.

4.2. Deci may monitor the performance and use of the Services and collect data in connection therewith (the “Usage Data“). Deci may combine this Usage Data with other data, and use such combined data, or a subset thereof, in an aggregate and anonymous manner (the “Aggregate Data“). You agree that Deci may collect, use, publish, and vend such Aggregate Data; provided, however, that such usage shall not, directly or indirectly, identify You, or any individual.

5. Disclaimer; Limitation of Liability

5.1. EXCEPT AS EXPLICITLY PROVIDED HEREIN, DECI PROVIDES THE SERVICES, AND TO YOU ON AN “AS IS” BASIS, WITHOUT WARRANTIES OR REPRESENTATION OF ANY KIND, AND DECI EXPRESSLY DISCLAIMS ALL WARRANTIES – STATUTORY, EXPRESS, IMPLIED OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, NON INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE OR ACCURACY. DECI FURTHER DISCLAIMS ANY WARRANTY THAT THE OPERATION SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS FROM OUR SERVICES IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE

5.2. IN NO EVENT WILL DECI BE LIABLE FOR LOST PROFITS, LOSS OF USE, LOSS OF DATA (INCLUDING END-USER INFORMATION), COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR FOR SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, HOWEVER CAUSED, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), OR OTHERWISE, WHETHER OR NOT DECI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

5.3. If you are a business or organization, to the extent permitted by law, you will indemnify and hold harmless Deci, from and against any costs, losses, liabilities, and expenses (including attorneys’ fees) from third-party claims arising out of or relating to your use of the Services and or any violation of these Terms.

6. Term; Termination

6.1. Deci may terminate this Agreement immediately and may decide to discontinue the Services at any time.

6.2. Upon termination of this Agreement and except as provided hereunder, you will immediately cease use of the Services. Sections ‎5, ‎6, 7, 8 and 10 shall survive any expiration or termination of this Agreement.

7. General. This Agreement constitutes the entire agreement between Deci and You and supersedes any previous agreements or representations, either oral or written, with respect to the subject matter of this Agreement. Deci may update these Terms or Services accordingly from time to time. You shall not transfer or assign its rights or obligations under this Agreement to any third party. Any purported assignment contrary to this section shall be void. Deci may assign its rights and obligations under this. This Agreement is governed by the laws of the State of Israel, without regard to its conflict of laws principles, and any dispute arising from this Agreement shall be brought exclusively before the courts of Tel Aviv, Israel.
